FitHQ Terms of Service

1. Acceptance of These Terms

These Terms of Service ("Terms") govern access to and use of the FitHQ platform, mobile application, and related services (collectively, the "Platform"), operated by FITHQ LIMITED ("FitHQ", "we", "us", or "our"). By creating an account, listing a Venue, offering services as a Trainer, booking a session as a Client, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. What FitHQ Does

FitHQ operates a marketplace for fitness space and fitness services in Hong Kong. The Platform serves three types of user:

• Independent fitness professionals ("Trainers"), who book Venue space on a session-by-session basis and who may offer training sessions to Clients
• Gyms, studios, and other fitness spaces ("Venues"), who list space for Trainers to book
• Individuals who book training sessions with a Trainer through the Platform ("Clients")

Through the Platform, FitHQ facilitates:

• Discovery of available Venue space by Trainers, and of Trainers by Clients
• Booking and scheduling of Venue space and of training sessions
• Communication between Trainers, Venues, and Clients
• Processing of payments for Venue bookings and for training sessions
• Community features, including discussion forums, meetups, and reviews

FitHQ does not itself provide fitness training, gym facilities, or any other fitness service. FitHQ is not a party to the agreement between a Trainer and a Venue, or between a Trainer and a Client. Any future expansion of the Platform's features will be reflected in an updated version of these Terms.

3. Company Information

4. Eligibility and Account Registration

4.1 General

• By registering for a FitHQ account, you confirm that you are at least 18 years old. We do not currently verify age, and we rely on this confirmation. If we become aware that an account holder is under 18, we may suspend or close the account.
• You must provide accurate, current, and complete information when registering, and keep it up to date.
• You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
• If you are registering on behalf of a Venue (e.g. as an owner, operator, or authorized staff member), you confirm that you have the authority to bind that Venue to these Terms.

4.2 Account Types

All self-serve registrations create a Client account. Trainer and Venue access is granted only after you submit a request and we approve it. Until then, your account remains a Client account.

5. Venue Obligations

Venues that list space on the Platform agree to:

• Provide accurate information about their space, including available time slots, facilities, pricing, and any usage restrictions
• Honor confirmed bookings made through the Platform
• Comply with all applicable Hong Kong laws, including the Trade Descriptions Ordinance (Cap. 362), and not make false or misleading claims about their facilities
• Hold any licenses, permits, and insurance required by law to operate the premises
• Maintain the space in a condition reasonably fit for the fitness activities it is listed for

6. Trainer and Client Obligations

6.1 Trainers

Trainers using the Platform agree to:

• Provide accurate information about their qualifications, services, and availability
• Conduct sessions professionally and in accordance with the Venue's house rules and reasonable instructions
• Comply with all applicable Hong Kong laws relating to the services they provide
• Take reasonable care for the safety of any Clients they train

Trainers are strongly encouraged, though not required as a condition of using the Platform, to maintain their own professional and public liability insurance appropriate to the services they provide. FitHQ does not provide insurance coverage to Trainers, Venues, Clients, or any other person.

6.2 Clients

Clients using the Platform agree to:

• Provide accurate information when booking a session
• Follow the reasonable instructions of the Trainer and the house rules of the Venue where a session takes place
• Disclose to the Trainer any health condition, injury, or limitation relevant to their safety during a session. You choose what to disclose and to whom; FitHQ does not require it and does not assess it
• Attend booked sessions or cancel in accordance with the applicable cancellation policy

7. Fees and Payment

7.1 Platform Fee

• FitHQ charges a platform fee on bookings made through the Platform. The fee may differ between Venue bookings and training sessions, and may be zero for either.
• The fee is DEDUCTED from the amount payable to the party providing the space or the service. It is not added to the price paid by the party making the booking.
• The party making the booking pays the listed price. No platform fee is added at checkout.
• On a Venue booking, the Trainer makes the booking and pays the Venue's listed price. The Venue receives that listed price less any applicable platform fee.
• On a training session, the Client makes the booking and pays the Trainer's listed rate. The Trainer receives that rate less any applicable platform fee.
• The amount payable is shown before you confirm and pay for a booking. Where a platform fee is deducted from amounts payable to you, the net amount is shown in your account on the Platform.
• FitHQ may change the fee structure from time to time. Users will be notified of any change with reasonable advance notice before it takes effect.

7.2 Payment Processing

• Payments are processed through Stripe or another third-party payment processor engaged by FitHQ from time to time.
• FitHQ is not responsible for delays, errors, or failures caused by the payment processor.
• All amounts are stated and settled in Hong Kong Dollars (HKD) unless otherwise indicated.

8. Bookings, Cancellations, and Rescheduling

8.1 Venue-Initiated Cancellations

• If a Venue cancels a confirmed booking, the Trainer will be notified as soon as reasonably possible.
• Any amount paid for that booking is refunded in full to the party who paid it, and the platform fee for that booking is reversed.

8.2 Trainer-Initiated Cancellations

• Trainers may cancel or reschedule a Venue booking subject to the applicable Venue's cancellation policy, as made available on the Platform at the time of booking.
• Cancellation fees, if any, are set by the Venue, not by FitHQ.
• If a Trainer cancels a confirmed training session, the Client will be notified as soon as reasonably possible, and any amount paid for that session is refunded in full to the Client, with the platform fee for that session reversed.

8.3 Client-Initiated Cancellations

• Clients may cancel or reschedule a training session subject to the applicable Trainer's cancellation policy, as made available on the Platform at the time of booking.
• Cancellation fees, if any, are set by the Trainer, not by FitHQ.

9. Assumption of Risk

Fitness activities carry an inherent risk of physical injury. By using the Platform to arrange, conduct, host, or take part in a booking or a training session, Trainers, Venues, and Clients each acknowledge that FitHQ is not a party to, and assumes no responsibility for, the fitness activities that take place. Each Trainer, Venue, and Client is responsible for assessing and managing the risks associated with the activities they conduct, host, or take part in.

10. Limitation of Liability

10.1 FitHQ's Role

• FitHQ operates solely as an intermediary platform connecting Trainers, Venues, and Clients.
• FitHQ does not control, and is not responsible for, the quality, safety, or delivery of any fitness activity.
• FitHQ does not guarantee the accuracy of information supplied by Trainers, Venues, or Clients.
• To the maximum extent permitted by law, FitHQ's total liability to any user arising from these Terms or the Platform is limited to the total platform fees FitHQ has collected in connection with that user's bookings in the twelve (12) months preceding the claim, whether those fees were borne by that user or by the other party to the booking.

10.2 Venue, Trainer, and Client Liability

• Venues, Trainers, and Clients are each solely responsible for their own conduct, services, facilities, and compliance with applicable law.
• Venues, Trainers, and Clients are each responsible for any injury, loss, or damage arising from the activities they conduct, host, or take part in, to the extent caused by them.

11. Acceptable Use

You agree not to:

• Use the Platform for any unlawful or unauthorized purpose
• Violate any applicable law or regulation in Hong Kong
• Infringe the rights of any other person
• Upload malicious code or attempt to interfere with the security of the Platform
• Impersonate any person or entity
• Harass, abuse, or harm other users
• Post content to the Platform's community features that is unlawful, misleading, abusive, or infringing
• Use automated means to access the Platform without our permission

12. Suspension and Termination

We may suspend or terminate an account for breach of these Terms, remove listings or content that violate our policies, or decline to provide the Platform to any person, at our discretion. You may close your account at any time by contacting us or using the account deletion feature within the app. Account deletion is immediate and permanent; see clause 8 of our Privacy Policy for what is and is not retained afterwards.

13. Intellectual Property

All content on the Platform, including logos, text, graphics, and software, belongs to FitHQ or its licensors. You may not reproduce, distribute, or create derivative works from this content without our prior written consent. Content you post to the Platform remains yours; by posting it you grant FitHQ a non-exclusive license to host, display, and distribute it on the Platform for the purpose of operating the service.

14. Dispute Resolution and Governing Law

• These Terms are governed by the laws of Hong Kong.
• Any dispute arising out of or in connection with these Terms or the Platform is subject to the exclusive jurisdiction of the courts of Hong Kong.
• Where a dispute arises between users of the Platform, FitHQ encourages the parties to resolve it directly in the first instance. FitHQ may, at its discretion, assist in facilitating a resolution but is under no obligation to do so, and may suspend accounts involved in an unresolved dispute pending its outcome.

15. Changes to These Terms

We may update these Terms from time to time. Where a change is material, we will notify you by posting the updated Terms on the Platform, by an in-app notification, and by updating the "Last Updated" date above. Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FitHQ regarding the Platform, and supersede any prior agreements on the same subject.
